End User License Agreement (EULA)

for Probativa Software Products

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”, “you”) and Probativa (“Company”, “we”, “us”, “our”) governing your use of Probativa desktop software products (“Software”).

By installing, copying, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

License Grant

Subject to your compliance with this Agreement and the applicable licensing terms, Probativa grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software in accordance with the license type you have purchased.

The license is:

  • Per product
  • Per edition
  • Limited to versions released during your active update period
  • Limited to the number of devices (“seats”) purchased

License Scope

Depending on the edition purchased, the Software is licensed for:

  • Professional use
  • Organizational and enterprise environments
  • Internal business operations

You may not use the Software for purposes outside the scope of your purchased license.

Perpetual Usage and Updates

Licenses are not subscription-based for usage.

  • You retain the right to use supported editions and versions indefinitely.
  • Renewals affect eligibility for updates, not usage rights.

Each product key includes an update period (typically one year from purchase), during which you may use all new versions of the licensed edition released in that period.

Versions released after the update period may require renewal to activate.

Activation and Validation

The Software uses online activation and periodic validation to verify license validity.

  • Activation is required to enable licensed features.
  • The Software may periodically verify license status by connecting to Probativa servers.
  • If validation cannot be completed for an extended period, the Software may revert to a non-licensed edition until validation succeeds.

Activation and validation are technical means of enforcing license terms and do not constitute a guarantee of uninterrupted operation.

Probativa does not guarantee uninterrupted availability of activation or validation services and is not liable for temporary service interruptions caused by maintenance, outages, technical failures, or events beyond its reasonable control.

Offline Use

After successful activation, the Software may be used offline for a limited period. Periodic online validation is required to maintain licensed status.

License Restrictions

You may not:

  • Share, sell, sublicense, rent, lease, or distribute the product key
  • Use the Software on more devices than licensed
  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Bypass or attempt to bypass licensing or activation mechanisms
  • Modify, adapt, or create derivative works from the Software
  • Use the Software in violation of applicable law

Ownership

The Software is licensed, not sold. Probativa retains all right, title, and interest in the Software, including all intellectual property rights.

License Revocation

Probativa may revoke a license, at its reasonable discretion, if it determines that a violation of this Agreement has occurred, including but not limited to:

  • License sharing or overuse
  • Circumventing licensing mechanisms
  • Fraudulent acquisition
  • Chargebacks or non-payment

If revoked:

  • Activation using the product key will fail
  • Existing activations may be disabled during validation checks

Changes to Licensing Mechanisms

Probativa reserves the right to modify licensing mechanisms for future versions, provided that existing licenses continue to function according to the terms in effect at the time of purchase.

Business Discontinuation

In the event that activation services are permanently discontinued, Probativa will make commercially reasonable efforts to enable continued use of valid licenses.

Updates and Modifications

Probativa may provide updates, patches, or modifications. Updates may change functionality and may require acceptance of updated terms.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.

Probativa does not warrant that the Software will be uninterrupted, secure, or free of defects.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Probativa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.

Probativa’s total liability shall not exceed the amount paid for the Software.

Termination

This Agreement is effective until terminated.

It terminates automatically if you violate its terms. Upon termination, you must stop using the Software and destroy all copies.

Governing Law

This Agreement shall be governed by the laws of Portugal, without regard to conflict of law principles.

Severability

If any provision is found unenforceable, the remaining provisions shall remain in full force.

Entire Agreement

This Agreement constitutes the entire agreement between you and Probativa regarding the Software and supersedes all prior agreements or communications.
